This information is for Australian Sex Party NSW Members.

NOTICE IS HEREBY GIVEN that the Annual General Meeting (AGM) of the Australian Sex Party NSW will be held at the Local Taphouse Hotel, level 1 dining room, 122 Flinders St Darlinghurst NSW 2010 on Saturday 12th May 2012, at 11:30am.

Agenda
1. Annual Report from the NSW Secretary.
2. Annual Financial Report from the NSW Treasurer.
3. Annual Report from the NSW Registered Officer.
4. Election of NSW Executive Office Bearers – see attachment 1.
5. Motions for Amendment to the Australian Sex Party NSW Constitution or Other Codes – see attachment 2.

This is a members only meeting.

Lunch, snacks and drinks will be available after the meeting but at your own expense. We hope to see you on the day.

Note: Only current financial members of the Australian Sex Party NSW are entitled to vote on matters put to the AGM. Members’ voting status will be checked on entry. You should bring your Sex Party card as it contains your membership number and it will assist with the attendance registration process at the AGM. Proxy Forms
If you are a voting member and unable to attend the AGM but would like to cast a vote on any matters put to the meeting you can request a proxy voting form from the Secretary. This will enable you to vote on each matter put to the meeting or to authorise another voting member who will be at the meeting to vote on your behalf.

All proxy forms must be returned to the Secretary via email, fax or letter no later than 11:30am on 11th May 2012, that is 24 hours before the AGM.

NOMINEES FOR OFFICE BEARERS

Following is the full list of nominees for office bearing positions.

SECRETARY
Rebecca Lanning.

Rebecca is a founding member of the Sex Party. Many members will recognise Rebecca’s name from the numerous emails despatched to members by Bec in her volunteer roles as membership and administrative officer of the Party.

TREASURER
Michael Phillips.

Michael is the current Treasurer.

REGISTERED OFFICER
Andrew Patterson.

Andrew is the current Registered Officer.

DEPUTY REGISTERED OFFICER
Huw Campbell.

Huw is the current Deputy Registered Officer.

ATTACHMENT 2

Item 1. MOTION TO AMEND THE CONSTITUTION

The NSW Executive moves that the Australian Sex Party NSW Constitution be amended by the addition of the following two clauses identifying the non-profit status of the Party:

12 NON-PROFIT STATUS

12. 1 Non-profit
The assets and income of the Australian Sex Party NSW shall be applied solely in furtherance of its above-mentioned objects, including the administration of the Party, and no portion shall be distributed directly or indirectly to the members of the Party except as bona fide compensation for services rendered or expenses incurred on behalf of the Party.

12.2 Dissolution
In the event of the Australian Sex Party NSW being dissolved, the amount that remains after such dissolution and the satisfaction of all debts and liabilities shall be transferred to the Australian Sex Party or if it is also dissolved, another organisation with similar purposes to the Australian Sex Party NSW which is not carried on for the profit or gain of its individual members.

Item 2. MOTION TO AMEND THE CODE OF AGM PROCEDURE

The NSW Executive moves that the Australian Sex Party NSW Code of Annual General Meeting Procedure be amended by:

Amending clause –

2.2.3 The NSW Secretary shall provide advance notification of the date of the AGM, and such advance notification shall occur at least 2 weeks (14 calendar days) prior to the official notification.

so that it reads –

2.2.3 The NSW Secretary shall provide all members who are entitled to cast a vote at an AGM a Notification of A Call For Nominations for Office Bearers. This notification will occur at least 2 weeks (14 calendar days) prior to the date of dispatch to members of the official Notification on an Annual General Meeting.

Item 3. MOTION TO AMEND THE CODE OF AGM PROCEDURE

The NSW Executive moves that the Australian Sex Party NSW Code of Annual General Meeting Procedure be amended by:

Amending clause –

2.2.4 Such notification of the AGM date will occur at least 3 weeks (21 calendar days) prior to the date of the AGM.

so that it reads –

2.2.4 Official notification of the AGM date will occur at least 3 weeks (21 calendar days) prior to the date of the AGM.
